Terms of Service

• By accessing and using Yaltopia Ticket, you accept and agree to be bound by these Terms of Service and our Privacy Policy.
• If you do not agree to these terms, you may not use our platform.
• We reserve the right to modify these Terms at any time. Material changes will be notified via email or in-app notice at least 7 days before taking effect where reasonably practicable.
• Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

• You must be at least 18 years old and legally capable of entering into binding contracts under Ethiopian law to create an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You agree to provide accurate, current, and complete business, tax, and contact information during registration and to keep it updated.
• You must notify us immediately at [email protected] of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or are used fraudulently, with or without notice depending on severity.

• You agree not to use the Platform for any unlawful purpose or in any way that could damage, disable, overburden, or impair the service.
• You will not create false, misleading, fraudulent, or duplicate invoices, receipts, or tax documents.
• You will not upload content you do not have the legal right to use, including documents or data belonging to third parties.
• You will not attempt to gain unauthorized access to any part of the Platform, scrape data at scale, or reverse-engineer our systems.
• You are solely responsible for complying with all applicable Ethiopian laws relating to invoicing, withholding, VAT, and tax reporting.
• You are responsible for reviewing every document you create, scan, import, or submit through the Platform — including invoices, payment receipts, and withholding certificates — before relying on it for accounting, tax, or reporting purposes.

• The Platform offers convenience features that scan or photograph documents (invoices, payment receipts, withholding certificates, ID cards) and automatically extract data using optical character recognition (OCR) and other automated tools.
• These automated tools are not infallible. Poor image quality, lighting, connectivity issues, or temporary system faults can cause the system to misread or mis-extract amounts, dates, names, TINs, or other fields.
• We urge every user, on every scan, to carefully check the extracted data on the confirmation screen at least once before saving, submitting, or acting on it — especially amounts, dates, and tax identifiers.
• You remain solely responsible for the accuracy of any scanned or auto-extracted data you confirm and save, regardless of whether the system extracted it correctly.
• Yaltopia Ticket is not liable for losses, penalties, or disputes arising from scanned data that was not reviewed or corrected before being relied upon.

• Yaltopia Ticket's current subscription plans and fees are disclosed to users at the point of purchase or upgrade and may be updated with notice.
• Where Yaltopia Ticket processes payment for subscriptions or platform features, such payments are handled via a third-party payment processor and are subject to that processor's terms as well.
• Fees paid for subscription plans or platform features are non-refundable except as required by law or explicitly stated at time of purchase.
• We may suspend access to paid features if a subscription payment fails or lapses, subject to any grace period stated in-app.

• All Platform content — logos, design, software, and Yaltopia-authored text — is the property of Yaltopia Ticket or its licensors and may not be reproduced without permission.
• By creating or uploading content (invoices, receipts, documents, scanned images) on the Platform, you grant Yaltopia a worldwide, royalty-free, non-exclusive license to host, process, and display that content for the purpose of operating the Platform on your behalf.
• You represent that you own or have permission to use any content you upload or scan.
• Intellectual property complaints: If you believe content on the Platform infringes your copyright or other IP rights, email [email protected] with (a) identification of the work claimed to be infringed, (b) the item in question, (c) your contact details, and (d) a statement of good-faith belief that use is unauthorized.

• The Platform, including scanning, OCR, and any other automated data-extraction feature, is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any scan, extracted field, or automated result is accurate or current.
• The system may occasionally have issues, particularly with scanning and image-based features; we recommend checking results carefully every time as a precaution.

• To the maximum extent permitted by Ethiopian law, Yaltopia Ticket and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform.
• Our total aggregate liability for any claim arising from these Terms or your use of the Platform is limited to the greater of (a) the amount you paid to Yaltopia Ticket in the 12 months preceding the claim, or (b) 5,000 ETB.
• We are not liable for losses arising from unreviewed scan results, unreviewed automated data, or data you confirmed without checking it.
• Nothing in these Terms limits liability that cannot be limited under Ethiopian law (e.g., liability for fraud or willful misconduct by Yaltopia itself).

You agree to indemnify, defend, and hold harmless Yaltopia Ticket, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your content or documents; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) any tax, accounting, or reporting consequence of data you confirmed without review.

• Informal resolution first: If you have a dispute with Yaltopia Ticket, please contact [email protected] and allow 30 days for us to attempt to resolve it informally before pursuing other remedies.
• Governing law: These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia, without regard to conflict-of-law principles.
• Jurisdiction: Any dispute not resolved informally shall be subject to the exclusive jurisdiction of the courts of Addis Ababa, Ethiopia, unless a different forum is required by mandatory consumer-protection law.

• We may suspend or terminate your account immediately, without prior notice, for conduct that violates these Terms or applicable law.
• Upon termination, your right to use the Platform ceases immediately; certain data may be retained per our Privacy Policy and applicable law.
• Sections that by their nature should survive termination (e.g., Indemnification, Limitation of Liability, Dispute Resolution) remain in effect.

• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disaster, internet/power outages, government action).
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• No Waiver: Our failure to enforce any right or provision is not a waiver of that right.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yaltopia Ticket.
